1.0 GENERAL
1.1) All orders are accepted and executed on the understanding that the purchaser is bound by the following General Conditions of Sale. In case of any inconsistency between these conditions and any conditions the Purchaser seeks to impose, these General Conditions shall prevail.
1.2) No waiver, alteration, or modification of any contract provisions shall be binding on Shop Electrical unless in writing signed by one of its directors or an authorized official.
2.0 QUOTATIONS & PRICES
2.1) Quotations are valid for 30 days from the date of quotation unless otherwise stated in writing.
2.2) The published prices and applicable discounts for Shop Electrical Eco products are those in effect on the date of publication.
2.3) Unless otherwise stated, all quoted prices are exclusive of delivery and Value Added Tax, which will be charged at the rate applicable on the date of delivery.
3.0 PAYMENT
3.1) Unless otherwise agreed in writing, full payment must be made before the dispatch of goods.
3.2) The payment method used in previous transactions will be assumed as the preferred payment option unless otherwise stated.
3.3) Shop Electrical reserves the right to discontinue delivery and, at its discretion, terminate the contract for any undelivered goods if the Purchaser defaults in payment. However, the Purchaser remains liable to pay for goods already delivered.
3.4) Shop Electrical reserves the right to withhold the supply of goods accepted on order if there is reason to believe payment will not be forthcoming within these terms if goods were supplied.
3.5) Shop Electrical reserves the right to charge interest on overdue accounts. If legal action is required to recover overdue amounts, the Purchaser will be responsible for all associated legal fees and disbursements.
3.6) A bank reference is required for establishing a credit account.
4.0 RISK & TITLE
4.1) While the risk in the goods passes to the Purchaser upon delivery, legal and beneficial ownership remains with Shop Electrical until full payment is received. Until then, the Purchaser must keep the goods separate and clearly identified as the property of Shop Electrical.
4.2) If payment is overdue, in whole or part, for any delivered goods, Shop Electrical may enter the Purchaser’s premises to recover and/or resell the goods to recover the overdue payment.
5.0 DELIVERY
5.1) All delivery dates are given in good faith but are approximate and not essential to the contract. They are calculated from the date of Shop Electrical’s acceptance of the Purchaser’s order.
5.2) Each installment delivery constitutes a separate contract.
6.0 PACKING & CARRIAGE
6.1) A signature by an employee of the consignee on a carrier’s delivery sheet or delivery note constitutes proof of delivery.
6.2) If dispatch is delayed by the Purchaser’s instructions, or more than 14 days after notification that the goods are ready for dispatch, the Purchaser must take delivery or arrange storage. For Clause 3 (Payment) purposes, the goods will be deemed delivered. Shop Electrical may store the goods and charge the Purchaser a reasonable fee.
7.0 SHORTFALL OR DAMAGE IN TRANSIT
7.1) No claim for transit damage will be accepted unless Shop Electrical and its carriers are notified in writing within 48 hours of receipt of goods. Goods and packaging must be held for inspection. After inspection, Shop Electrical will arrange for collection.
7.2) No claim for loss in transit or short delivery will be accepted unless Shop Electrical and its carriers are notified in writing at the time of delivery. The shortfall must be specified in writing on the delivery note. Marking “not examined” or similar statements does not entitle the Purchaser to claim loss or short delivery later. If not noted, Shop Electrical will be deemed to have delivered the correct quantity.
7.3) Claims for damage, loss, or short delivery must include delivery invoice number, condition of packages, date carrier notified, date consignment received, extent of damage or shortfall, and copy of the delivery note.
7.4) In case of non-delivery, carriers and Shop Electrical must be notified within five days of the invoice date.
7.5) Shop Electrical is not responsible for goods lost or damaged in transit or short delivery unless these conditions are strictly observed.
8.0 RETURN OF GOODS
8.1) Goods supplied against a firm order cannot be returned without prior written consent from Shop Electrical.
8.2) A handling charge of up to 50 percent of the invoice value of returned goods may be deducted from any credit unless the return is pursuant to Clauses 6 or 8 or due to an error by Shop Electrical.
8.3) Shop Electrical will not credit returned goods not in fully resalable condition.
8.4) Shop Electrical is not liable for any direct, indirect, consequential, or economic loss or damage. The Purchaser should insure against liability arising from the use of the goods.
9.0 DESCRIPTIVE MATTER & ILLUSTRATIONS
9.1) All descriptive specifications, drawings, and dimensions issued by Shop Electrical are approximate and do not form part of any contract.
9.2) Shop Electrical reserves the right to change specifications without prior notice, provided the Purchaser is not obliged to accept non-compliant goods.
